These Terms of Service ("Terms") govern your access to and use of ShopSheets ("Service", "App", "we", "our", or "us"), a Shopify application that synchronizes data with Google Sheets.
By installing, accessing, or using ShopSheets, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use ShopSheets for your internal business purposes.

Billing is processed through Shopify's billing system. You authorize Shopify to charge the subscription fee to your Shopify account on a recurring monthly basis.
You are responsible for all applicable taxes, duties, and government charges. If we are required to collect or pay taxes, those amounts will be added to your invoice.
We reserve the right to change our pricing with 30 days' advance notice. Price changes will not affect your current billing cycle and will take effect on your next renewal date.
Subscription fees are non-refundable except:
You may cancel your subscription at any time by uninstalling ShopSheets from your Shopify Admin. Cancellation is effective immediately, and you will not be charged for future billing periods.
No partial refunds: If you cancel mid-cycle, you will not receive a refund for the current billing period, but you will retain access until the end of that period.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

You retain all ownership rights to your Shopify data and Google Sheets. We do not claim any ownership over your data.
By using ShopSheets, you grant us permission to access, process, and sync your Shopify data to Google Sheets as described in our Privacy Policy.
You are responsible for maintaining backups of your data. While we implement robust systems, we are not liable for data loss. Google Sheets provides version history for recovery.

We do not provide a formal Service Level Agreement (SLA) at this time. We monitor service health and respond to incidents promptly.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service, including its software, design, text, graphics, logos, and functionality, is owned by ShopSheets and protected by copyright, trademark, and other intellectual property laws.
"ShopSheets" and our logo are trademarks of ShopSheets. You may not use our trademarks without prior written permission.
Shopify and Google are trademarks of their respective owners. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. or Google LLC.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our privacy practices.
ShopSheets integrates with third-party services (Shopify, Google Workspace). Your use of these services is subject to their respective terms of service:

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may add or remove features, change functionality, or release new versions. We will notify you of material changes via email or in-app notification.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in English in Delaware, United States.
Either party may pursue claims in small claims court if the claims qualify and remain in small claims court.
You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShopSheets regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, Internet failures, or government actions.
